FICCWEB SOFTWARE LICENSE
AGREEMENT
PLEASE READ THIS LICENSE AGREEMENT CAREFULLY
NOTICE TO USERS: By using FICCweb© you accept the Terms and Conditions of this Agreement.
If you do not agree with the terms and conditions of this Agreement, do not use the Software. This link contains our Software program called FICCweb© or FICC©, from now called the Software. The User’s Guide and electronic data is developed and owned by PANTEL NETWORKS CORP.
For license purposes, this SOFTWARE and the data are referred to as the Software. In return for acquiring a license to use the Software and related documentation, you agree to the following terms and conditions:
1. Non Exclusive Rights:
You are granted a non-exclusive right to use the Software depending for the number of users you are paying and can run the the Software at the same time to run your business.
PANTEL reserves all rights not expressly granted to you under this License Agreement. If you are using the Software is because you accepted this conditions.
You agree that the Software is a valuable property of PANTEL NETWORKS CORP. You will not give access to the Software to unauthorized people, documentation, or any portions thereof, you
should backup your data as often as possible depending on the volume of your company and copy it to a local device like a hard drive, usb drive or other options you may have.
You agree not to modify, adapt, translate, reverse engineer, de-compile, disassemble or create derivative works based on the Software or the screens created electronically or in hard copy form as a result of the use of the Software.
2. Proprietary Rights and Obligations:
This Agreement does not give you the right to use any trademarks or trade names, including those associated with the Software. You may assign your rights under this Agreement to a third party provided; (i) they agree in writing to be bound by this Agreement prior to the assignment and (ii) that you transfer all copies of the Software, data and related documentation to them or destroy any copies not transferred. Except as set forth above, you may not sign your rights under this Agreement. You agree that the Software will not be used in any country or used in any manner prohibited by the United States Export Administration Act.
3. Assignment:
FICCWEB runs from our Pantel's Cloud on any browser html5 compatible through the Internet.
4. Media Software:
PANTEL NETWORKS CORP. and R. Alex Pancorvo retain title and ownership of the Software, the Screens, the media on which it is recorded, and all copies of the Software. If your use of a Screen is found to infringe on the intellectual property rights on any third party, you will cease such use or you will secure the rights necessary for such use. PANTEL 's use of trademarks in descriptions of comparable screens does not convey any right to use the trademark, and all trademarks remain the property of their respective owners.
5. No Other Rights:
The license is effective until terminated and while you make your monthly payments for the usage. PANTEL
has the right to terminate immediately if you fail to comply with any term of this Agreement.
6. Term.
PANTEL warrants the software and any bug found should be reported immediately to PANTEL.
7. Limited Warranty:
EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE SOFTWARE AND DOCUMENTATION ARE PROVIDED AS IS PANTEL DOES NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE OR DOCUMENTATION. THE FOREGOING STATES THE SOLE AND EXCLUSIVE REMEDIES FOR PANTEL BREACH OF WARRANTY. EXCEPT FOR THE FOREGOING LIMITED WARRANTY, PANTEL MAKES NO WARRANTIES OR IMPLIED AS TO NON-INFRINGEMENT OF THIRD PARTY RIGHTS OR IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Some jurisdictions do not allow the exclusion of implied warranties or limitations on the duration of implied warranties, so the limitations may not
apply to you. This warranty gives you specific legal rights.
8. Limited of Liability:
IN NO EVENT WILL PANTEL BE LIABLE TO YOU FOR ANY CONSEQUENTIAL OR INCIDENTAL
DAMAGES (INCLUDING DAMAGES FROM LOSS OF BUSINESS PROFITS OR SAVINGS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION AND THE LIKE) OR FOR CLAIM BY ANY PARTY ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE EVEN IF PANTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Indemnification:
You agree to indemnify and hold PANTEL harmless from and against any claims or damages, which may result from your breach of this Agreement.
10. Governing Law:
The laws of the State of Florida will govern this Agreement. The United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded, will not govern this Agrement.

11. End Users:
If this product is acquired under the terms of a contract the Software and documentation are provided with Restricted Rights. Use, duplication, or disclosure is subject to restrictions as set forth in subparagraph (c)(1)(ii) of The Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or
subparagraphs (c)(1) and (2) of the Commercial Computer Software -Restricted Rights at 48 CFR 52.227-19, as applicable. Contractor/manufacturer is PANTEL NETWORKS CORP.
LICENSE OF UPDATES:
PANTEL may provide the customer with free updates of the license and upgrades with new versions of the
FICCWEB, reserving the right to charge a price for such upgrade.
Only companies or persons that are current in their monthly FICCweb payments have the right to obtain updates and Support of the FICCWEB system.
